HANO members approve bylaws and articles, elect new board

Members unanimously approved new articles of incorporation and bylaws and elected new members to the HANO Board of Directors at a historic member business meeting on Wednesday, Nov. 1, at the Radisson Waikiki Prince Kuhio Resort.

“It has been a long, careful and inclusive process,” said John Flanagan, HANO president and CEO. “We began with planning meetings and focus groups, convened a HANO Steering Committee, held town meetings on six islands to hear what nonprofit leaders had to say, brought in a team from the National Council of Nonprofit Associations to help us decide on a governance model and finally put together a team of Board and Steering Committee members to draft the new documents.”

Now that members have given their official approval, Hawai‘i Community Services Council will become the Hawai‘i Alliance of Nonprofit Organizations, effective Jan. 1, 2007.

Members also heard a presentation on the HANO strategic plan by Pamela Burns, chair of the Steering Committee and board vice chair. The plan was the product of a two-day planning retreat in June attended by board, staff and steering committee members.

New board members elected: Under the new bylaws, the HANO Board of Directors will have between 11 and 21 members, a majority (but less than 75 percent) of whom are chief executives of member nonprofit organizations. The nominating committee presented a slate of 14 candidates, all of whom were elected. The new board will have 19 members, including five directors whose terms have not expired.

The nonprofit CEOs elected are:

  • Sandy Baz, executive director, Maui Economic Opportunity, Inc.
  • Pamela Burns, president & CEO, Hawaiian Humane Society
  • Beth Giesting, CEO, Hawaii Primary Care Association
  • Mike Gleason, president & CEO, The ARC of Hilo
  • Gail Mukaihata Hannemann, CEO, Girl Scout Council of Hawai‘i
  • Judy Lenthall, executive director, Kauai Food Bank
  • Geri Marullo, president & CEO, Consuelo Foundation
  • Sarah Richards, president, Hawaii Theatre Center
  • Laura Robertson, president & CEO, Goodwill Industries of Hawai‘i

At least 25 percent of the board is comprised of community members who bring needed skills and experience to the board and represent the broader nonprofit community of volunteers and donors. All directors are required to be HANO members in an appropriate category. The community constituents joining the board are:

  • Susan Chandler, professor and interim director, University of Hawai‘i-Manoa Public Policy Center
  • Bruce Coppa, executive vice president, Communications Pacific
  • Sheryl Seaman, vice chairman, Group 70 International
  • Mike Onofrietti, vice president, AIG Hawai‘i

Sitting board members whose terms have not expired and who, therefore, did not stand for election are:

Board Chair Jerry Rauckhorst recognized and thanked departing board members Barbara Ankersmit, Pete Thompson and Kelly Walsh.

The next board meeting will be at 4 p.m. on Wednesday, Nov. 29, at the Hawai‘i Community Foundation conference room, 16th Floor, 1164 Bishop St., Honolulu. Directors who cannot attend in person will be able to participate by teleconference.
